Dealer Terms & Conditions

These Terms and Conditions include all MW Company Brands/Product Lines when sold directly by MW Company.

MW Company can change Terms and Conditions at any time. MW Company will make available the updated Terms and Conditions to the Dealers.

Order Payment Terms:

All orders are pre-paid at time of placement.

Payments Methods:

The following payment options are accepted:

  • Cash
  • Credit Card
  • Company Check (with prior authorization pending bank confirmation)
  • Wire Transfer

Resale Tax Exempt:

Dealers must submit current sales tax exemption certificates for all states in which they intend to conduct business. In the absence of a sales tax exemption certificate, sales tax will be added to the order.

Past Due Accounts:

Customer promises to pay interest on any past-due balance from the date such amount was originally due and payable until the date such amount is paid at a rate per month equal to 1.5% or the highest interest rate permitted by applicable law, whichever is the lowest. Any returned check will be subject to a $50.00 charge.

Shipping and Delivering Costs:

All products are FOB from shipping location.

Damage or shortages:

Title of merchandise passes to the dealer upon delivery to common carrier and delivery of all merchandise in good condition is the responsibility of the carrier.

Claims for shortage or damage must be made upon receipt of merchandise, before the driver leaves, and brought to the attention of the freight company immediately and noted on the Bill of Lading (BOL) with a signature from the freight party representative (Driver).

MW Company will review and confirm timely claims and either issue credit or replace part shortages at MW Company’s discretion. Signing the BOL constitutes acceptance of the piece count and condition of products per the BOL.

Returns:

Dealer may return for credit, unopened, new first line products provided the return is requested within thirty (30) days of purchase. Any returns for products purchased beyond 30 days, if accepted, will be assessed a 15% restocking fee. Costs to return products are the responsibility of the dealer and shipment must be made in a manner to ensure the products and packaging are received by MW Company in sellable condition. Damaged packaging will be assessed a $15 rebox fee.

A “Return Merchandise Authorization” (RMA) must be obtained prior to returning any product. To obtain an RMA, purchase invoice number must be provided. All products returned to MW Company must be freight prepaid and properly packaged. Custom Made products are not eligible for return.

Warranty: Products the dealer considers defective should be returned to MW Company, together with a previously approved RMA and if upon inspection by MW Company are deemed defective, MW Company will repair or replace the products at our discretion.

Shipping fees must be paid by dealer and MW Company will issue credit for shipping fees if product is defective and covered under warranty. If condition of returned items are not deemed warrantable, dealer will be notified and have the option to have the product shipped back to them or accept scrap value for the product. If dealer elects to get the denied claims returned to them, they are responsible for shipping costs. Dealers are responsible for the communication with the end-user and that includes communicating warranty and recall info and handling any claim.

Credit Memos:

MW Company will, at its discretion, provide Credit Memos to customers. These credits must be used with 12 months of date of Credit Memo. Credit Memos not used with 12 months will be written off and no longer available to the customer for use.

Pricing:

MW Company reserves the right to change prices and/or discount structure at any time. While every effort has been taken to ensure the information contained within the MW Company price files, load sheets, catalogs, websites, etc. is correct, no responsibility can be accepted for any inaccuracies.

MW Company reserves the right to alter or modify the information contained in our company produced products or publications, price files, etc., in light of developments or discovery of errors and omissions. MW Company uses sales in dollars by product series to set dealer discounts. MW Company may review and modify discounts quarterly.

MAP POLICY:

MW Company has adopted a Minimum Advertised Price Policy (MAP) for all products included in these Terms and Conditions. Non-compliance of MAP policy will result in loss of discount or closure of account.

Product Design:

We reserve the right, without notice, to change any material, specifications, part numbers or labeling without incurring any obligation to the buyer for past or future merchandise purchases.

Trademarks and Registrations:

MW Company maintains ownership of all brands, trademarks, logos, images, registrations and all other intellectual, proprietary information for all MW Company products. Trademark infringement and counterfeiting will be dealt with to the fullest extent of the law.

MW Company Terms & Conditions Acknowledgement

Sale of any Products is expressly conditioned on your acceptance to these Terms and Conditions. Any acceptance of MWC’s offer is expressly limited to acceptance of these Terms and Conditions and MWC expressly objects to any additional or different terms proposed by Dealer and/or distributor. No Dealer or distributor form shall modify these Terms and Conditions, nor shall any course of performance, course of dealing, or usage of trade operate as a modification or waiver of these Terms and Conditions. Any order to purchase products shall constitute Dealer’s and/or distributors acknowledge and agreement to these Terms and Conditions.
